This Agreement is a legal agreement that governs our relationship with Jobseekers, employers, visitors, and others who access the Services (“Jobseeker” “Employer,” “you,” or “your”), uses and interact with SpizeBox Services Private Limited and our subsidiaries and affiliates (“SpizeBox,” “we,” or “us”) in connection with the use of SpizeBox websites (including www.poachme.in) and any other websites where these terms are posted) (the “Sites”) and our Services (as defined below). In this Agreement, employers, Jobseeker and all other users of the Services are collectively referred to as “users”. Please read these terms and conditions ("Terms") carefully to be sure that you understand them. Once you have completed your online registration procedure, your membership will be activated and you will be legally bound by these Terms.
SpizeBox may alter or amend this Agreement and any policy or guideline of the Services in its sole discretion at any time, with or without notice. When we change the Agreement, we will update the “last updated” date at the top of this page. Unless otherwise indicated, any changes or modifications will be effective immediately upon posting the revisions to the Sites or Services, and your use of the Services after such posting will constitute acceptance by you of the revised Agreement. As a result, you should frequently review this Agreement and all applicable terms and policies to understand the terms that apply to your use of the Services. If you do not agree to the amended terms, you must stop using the Services.
A. General Terms of Use:
This web site is owned and operated by SpizeBox Services Private Limited and is made available to you on the following terms and conditions. By using the site and the services available on it you are deemed to accept these terms and conditions and any additional terms and conditions which expressly apply to services and information provided by third parties.
B. Data Protection:
Our use of Jobseeker Profiles / Job Profiles and other personally identifiable information supplied by users of this site is governed by our privacy policy. Please click here to view our Privacy Policy.
Personally identifiable information data which you supply to us may be transferred to third party service providers to be stored or processed on our behalf, including third parties located outside India where there may be a lower legal level of data protection. However, we will always endeavor to handle your information in accordance with this privacy policy, wherever it is processed.
C. Use of the Website and the Services:

The information and services available on the site are provided for the sole purpose of individuals looking for employment opportunities and career information and for employers seeking to recruit staff. You may use, print and download information from the site for these purposes only and for no other personal or commercial purpose.

In particular, you may not use any information from any directory or other listing or information retrieval service (if any) made available on the Website and/or the Services, in connection with any business or commercial undertaking (whether or not for profit). Any other use of materials on the Website and/or the Services (including without limitation reproduction for a purpose other than that noted above and any modification, distribution or republication) without the prior written permission of SpizeBox is strictly prohibited. You also agree not to deep-link and/or frame the Website or any of the Services for any purpose, unless specifically authorized by SpizeBox to do so.

You may not otherwise copy, display, transmit or distribute any material from the site and if you do or if you perform any other unauthorized processing of information on the site it shall be deemed a material breach of these terms and conditions which, shall entitle us to terminate the Services immediately on notice in writing. Further, we reserve the right to suspend provision of the services to you in circumstances where we reasonably believe that you have performed any unauthorized processing of information. In respect of any personal data accessed or otherwise processed by an Employer/Jobseeker as a result of access to the site or the Services, the Employer/Jobseeker agrees that they shall be the sole data controller of such personal data and shall be solely responsible for its processing.

You agree that you shall not use the Website or the Services to transmit or knowingly or recklessly receive (or knowingly or recklessly authorize or permit any other person to receive or transmit) material which is obscene, threatening, menacing, offensive, defamatory, abusive, untrue, in breach of confidence, in breach of any intellectual property right (including copyright) or which may cause anxiety to others including racist or sectarian or communal or casteist or sexist content or material which otherwise violates any applicable law or regulation or code, or which makes excessive demands for bandwidth or contains any virus or which may otherwise impair or harm SpizeBox's computer systems or any third party computer system.

By registering to use the Services, you automatically and hereby expressly grant to SpizeBox a royalty free right to display the information, copy, reproduce and make available on the Website and otherwise deal with as necessary to provide to you the Services any material and information which you may provide to SpizeBox through your use of the Services.

Save to the extent required by law, no representations, warranties or terms of any kind are made in respect of the Website and/or the Services or their contents (including, without limitation, any views or comment made). All information and/or data included in and/or on the Website, the Services and/or in any directory or other listings or information retrieval service made available on or by the Website and/or the Services has been so made available for guidance only. Your use of such information and/or data is therefore entirely at your own risk. All liability of SpizeBox, its directors, employees or other representatives howsoever arising for any loss suffered as a result of your use of the Website and/or the Services is expressly excluded to the fullest extent permitted by law.

SpizeBox make no warranty that the contents of any and all e-mails communicated through the Site are free from infection by viruses or anything else which has contaminating or destructive properties and shall have no liability in respect thereof.

These are provided for your convenience only and SpizeBox is not responsible for and does not give any warranties or make any representations regarding any such websites and/or services and is not responsible for or liable in relation to the content or your use of such websites (save to the extent required by law).

You acknowledge that SpizeBox is not responsible for third party content on the Website and that SpizeBox cannot ensure that material presented on the Internet is legal. SpizeBox will not limit access to material unless notified that it is illegal. In particular, you acknowledge that SpizeBox is not responsible for the content of job postings and Jobseeker profile snapshots provided by employers/jobseeker on the Website. However, SpizeBox shall have the right to remove any job postings, jobseeker profile snapshots, materials or other items on the Website which it believes may be illegal or which it determines to be inappropriate and not meeting this terms & conditions.

SpizeBox will not be a party to any direct communications whatsoever between you and those responding to any use which you may make of the Services, although SpizeBox reserves the right to monitor any such communications which are made by you or third parties by means of the Website and/or the Services.

All copyright, database rights and other intellectual property rights in the site and the material available on the site belong to SpizeBox Services Private Limited or its third party suppliers. Use of the site does not give you any proprietary rights in such materials. SpizeBox does not grant any license or other authorization to use any of its trademarks, product names, company names or logos or any of its copyright works or other intellectual property rights by placing them on or making them available by means of the Website or the Services.
D. For Jobseekers:

The jobseeker profile creation has to be done by the jobseeker himself and the same will be validated by an email/SMS by SpizeBox, Jobseeker account shall be activated only after successful validation. The services to the jobseekers are completely free of cost.

Jobseekers uploading multiple profiles by activating different accounts beyond a reasonable limit shall entitle SpizeBox to remove and deactivate such accounts without any notice.

In order to register with the Website and to sign in when you visit the Website, you will need to use a user name and password. You are solely responsible for the security and proper use of your password, which should be kept confidential at all times and not disclosed to any other person. You must notify us immediately if you believe that your password is known to someone else or if it may be used in an unauthorized way. We accept no liability for any unauthorized or improper use or disclosure of any password.

SpizeBox will not disclose your name, email, mobile number to the prospective employers / job postings till the time you accept and approve a handshake initiated by the employer. Once you and employer agree to handshake after evaluating the job posting / jobseeker profile, SpizeBox will display your name, email and mobile number to prospective employer and you will shared with the recruiter's name, email and mobile number.

Only once handshake initiation will be allowed per job posting, if a handshake is already initiated by you or by the employer for a job posting you will not be allowed to apply for the same job posting again.

Search job posting option provided in the jobseeker dashboard is a tool provided to the jobseeker to search prospective job postings and initiate the handshake process, extra care must be taken by the jobseeker before initiating the handshake, if the job posting is not relevant to their profile, they should refrain from applying to those postings, SpizeBox will monitor such inappropriate handshakes and such an action shall entitle SpizeBox to remove and deactivate such accounts without any notice.

SpizeBox uses job matching algorithm to match jobs with jobseekers using the Skills, experience, salary range, location, Industry, etc. given by the jobseekers at the time of registration and creating their profile, and hence SpizeBox offers no guarantee nor warranties that the job matching / jobseeker matching sent as alerts and mails will be relevant to the jobseeker profile / job posting. Any changes made by the jobseeker on their profile((Edit, Update, Inactive, Delete)) or any changes made by the employer on the job posting(Edit, Update, Inactive, Delete) will have an impact on the matching process. SpizeBox accepts no responsibility or liability for such changes made by the jobseekers / employers.

Jobseekers can hide their profile if they wish to opt out from matching / searching results of employers by selecting the "Hide Profile" from the jobseeker dashboard after login under the settings tab - Manage Profile section - Profile Status option. Once the profile is hidden the jobseeker account will be marked “Inactive”, to reactivate the account the jobseeker needs to mail us at [email protected].

Jobseekers can reset their password using forget password from the login screen or from the jobseeker dashboard after login under the settings tab - Change password section. Employers & jobseekers are advised to change their passwords frequently in order to reduce the possibility of misuse of their accounts.

Jobseekers can rest their notification settings from the jobseeker dashboard after login under the settings tab - Notifications section.

Jobseeker profiles and job postings contained on the site are provided by jobseekers and by prospective employers and are not reviewed by us. We accept no responsibility or liability for the contents of jobseeker profiles and job postings / Employer / Organization and expect jobseeker and prospective employers to carry out such verification procedures as are customary and prudent in the circumstances.

Services and information provided on the site by us and our third party suppliers are intended to assist in the job seeking or recruitment process. Neither we nor our third party suppliers can guarantee their suitability or prospects of success in any particular case. You should obtain independent verification before relying on information provided on the site in circumstances which may result in loss or damage.

We try to ensure continuous availability of the site and all the services available on it but accept no responsibility for the consequences of interruptions or delays, however caused. We may, additionally, alter the design and specification of the site at any time.

You agree to indemnify SpizeBox and all companies within the SpizeBox group for all losses, costs, actions, claims, damages, expenses (including reasonable legal costs and expenses) or liabilities, whatsoever suffered or incurred by SpizeBox or companies within the SpizeBox Services Private Limited group in or as a consequence of your breach of this Agreement and/or your misuse of the Website and/or Services.
E. For Employers:

The employer profile creation has to be done by the employer himself and the same will be validated by an email/SMS by SpizeBox, Employer account shall be activated only after successful validation. The services to the employers are charged as per the prevailing pricing policy of SpizeBox; visit our pricing page to know more details about the pricing policy. SpizeBox reserves the right to change its product pricing without prior notice. This Site reserves the right to charge subscription and / or membership fees in respect of any part, aspect of this Site upon reasonable prior notice.

Employers can create multiple profiles with same company name and assign/tag each login to different recruiters in their organization. There is no restriction in number of logins created by each employer. Handshakes can be purchased in bulk and employer can define the quantity of handshakes to be assigned to each login at the time of purchasing the handshake with the SpizeBox representative. Only after the payment is realized SpizeBox will assign handshakes to each logins as requested by the employer.

Employer can initiate handshake with jobseekers for every job posting once, if a handshake is already initiated by you or by the jobseeker for a job posting you will not be allowed to reinitiate handshake for the same job posting again.

Employers can reset their profile settings to inactive if they wish to opt out from matching / searching results of jobseekers, from the employer dashboard after login under the settings tab - Manage Profile section. Employers can always make their profiles active when they wish and start getting the alerts and notifications.

Employers can post any number of jobs posting through posting and manage jobs section in their dashboard; job postings are completely free of cost for the employers.

Employers can always make a job posting inactive / delete once the requirement is fulfilled. They can visit the employer dashboard after login under the settings tab - Manage jobs section. Employers can always make their jobs inactive/delete. When the job is made inactive all relevant jobseeker records for that job will be removed from matching and handshake pages of the dashboard. If the job posting is of repetitive nature Employers can make the job inactive and can make it active again when the same opening comes in future. If the job is already deleted you need to recreate the same as a new job posting.

When the Handshake is initiated and accepted by both the jobseeker and the recruiter against a job opening, we create a communication channel by sharing the hidden contact details with each other for further interview process. This is termed one Successful Handshake.
The following scenarios constitutes a Successful Handshake,
1. Handshake request Initiated by Employer and Handshake request Accepted by the Jobseeker.
2. Handshake Request Initiated By Jobseeker and Handshake request Accepted by the Employer. -
Employers are charged on the basis of Handshakes Used, and following scenarios are treated as one Handshake Used and the same will be deducted from the handshakes purchased for that employer account.
1.Handshake Initiated By Employer
- Handshake Accepted by the Jobseeker.
- Handshake Declined by the Jobseeker.
2.Handshake Initiated By Jobseeker
- Handshake Accepted by the Employer.
- Handshake Initiated by the jobseeker and declined by you after seeing their profile snapshot will not be counted as one Handshake Used.

Handshakes purchased are valid for a period of One Year and the same will not be carried forward to next year at the time of renewal.

SpizeBox handshake subscription is a prepaid service and hence amount once charged to the account to purchase handshakes will not be refunded.

Handshake+ pricing is based on how many shortlisted jobseekers attend interviews successfully, and not as a percentage of the annual salary for the position you’re trying to fill. In Handshake+ Talent Sourcing services the actual number of qualified jobseeker profiles that you may receive can vary depending upon multiple factors like skills, position, designation, job location, salary and supply/demand for talent. We do not guarantee a hire through Handshake+ Talent Sourcing services, we guarantee to identify, source, screen and present the best matching talents for interview based on market availability and supply/demand for talent for that particular skill set.

SpizeBox reserves its right to terminate your account without any prior notice for any violation of the Terms and conditions. All content posted by you in the web site becomes the property of SpizeBox and you agree to grant/assign the royalty free, perpetual right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform and display such content (in whole or part) worldwide and/or to incorporate it in other works in any form, media, or technology now known or later developed.

F. Content Rights:

The rights in material on the Website are protected by international copyright, software and trademark laws and you agree to use the Website in a way which does not infringe these rights. You may copy material on the Website for your own private or domestic purposes, but no copying for any commercial or business use is permitted.

Employer hereby authorizes and agrees that SpizeBox Group may use the employer's name, trademarks and logos (“IP-Rights”) for the purposes of providing the Services.

Additionally employer agrees that SpizeBox Group may mention Customer as a reference employer in SpizeBox Group's marketing materials (such as e.g. but not limited to websites and brochures), that SpizeBox Group may use the employer's IP-Rights in this context and may present examples of the services provided to and the materials published on behalf of Employer.
G. Liability:
SpizeBox does not necessarily review employer and jobseeker postings and is not involved in the actual transactions between users. As most of the content on SpizeBox comes from employers and jobseekers, SpizeBox does not guarantee the accuracy of what is offered in any content nor endorse any user. SpizeBox does not accept liability of any description for the posting of any unlawful, discriminatory, threatening, abusive, defamatory, obscene or indecent information, or material of any kind, including, without limitation, any material that would be criminal activity, or give rise to civil liability or breach any law. To the maximum extent permitted by law, SpizeBox excludes liability for any loss or damage of any kind howsoever arising, including without limitation any direct, indirect, punitive or consequential loss whether or not such arises out of any problem you notify to SpizeBox. SpizeBox shall have no liability to pay any money by way of compensation, including without limitation liability in relation to:

any incorrect or inaccurate information on the Site and all interruptions to or delays in the Service;

the infringement by any person of any Intellectual Property Rights of any third party caused by their use of the Site;

any amount or kind of loss or damage due to viruses or other malicious software that may infect a user's computer equipment, software, data or other property caused by persons accessing, using or downloading the Site, or from transmissions via emails or attachments received from SpizeBox or its licensees; and

representations, warranties, conditions and other terms which but for these Terms would have effect whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.
H. Force Majeure:
SpizeBox shall have no liability to you for any interruption or delay in access to the website / mobile applications irrespective of the cause.
I. Law and Jurisdiction:

This Agreement shall be governed by the Laws of India. The Courts at Chennai shall have exclusive jurisdiction over any disputes arising under this agreement.

Though this Website can be accessed throughout India and overseas, SpizeBox does not represent that the content of this Website complies with the laws (including the intellectual property laws) of countries outside India. If you access this Website from outside India, you do this on your own responsibility and are responsible for ensuring compliance with all laws in the place where you are located.
J. Changes to Terms of Use:
SpizeBox reserves the right to change these terms of use (as amended) from time to time. Such changes shall either be notified to you by e-mail or posted on the home pages of the Website. Changes in this manner shall be deemed to have been accepted if you continue to use the Website and/or the Services following any amendment.
